LEGAL DISPUTES AND ARBITRATION AGREEMENT
Initial Dispute Resolution. We are available by email click here to address any concerns you may have regarding your use of the Sites. Most concerns may be quickly resolved in this manner. The parties shall use their best efforts to settle any dispute, claim, question, or disagreement directly through consultation and good faith negotiations which shall be a precondition to either party initiating a lawsuit or arbitration.
Terms of Service and Binding Arbitration Agreement. If the parties do not reach an agreed upon solution within a period of thirty (30) days from the time informal dispute resolution is pursued pursuant to the preceding paragraph, shall be finally submitted for arbitration to the China International Economic and Trade Arbitration Commission (hereinafter referred to as “CIETEC”), South China Sub-Commission, acting on the basis of its Rules of Arbitration. The arbitration shall be held in South China Sub-Commission, The arbitration proceedings shall be conducted in English language.
Class Action Waiver. The parties further agree that any arbitration shall be conducted in their individual capacities only and not as a class action or other representative action, and the parties expressly waive their right to file a class action or seek relief on a class basis. If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason or that an arbitration can proceed on a class basis, then the arbitration provision set forth above shall be deemed null and void in its entirety and the parties shall be deemed to have not agreed to arbitrate disputes.
The arbitration award shall be final and binding for the parties. The arbitration fee shall be borne by the losing party except as otherwise awarded by the arbitration tribunal. During the arbitration proceedings the parties shall continue to perform their contractual obligations except for the obligations which are in dispute.
SUBMISSIONS
We do not seek or accept unsolicited ideas. By submitting any material to us through any of the Sites, you expressly grant to us and our affiliates a royalty-free, non-exclusive, fully transferable, assignable and sublicensable right and license to use, reproduce, modify, display, transmit, adapt, publish, translate, create derivative works from and distribute such material, throughout the world and in perpetuity, in all media now known or hereafter devised and for all lawful business purposes of ours and of our affiliates (including, without limitation, advertising, promotional and marketing purposes). Our failure to act with respect to a breach by you or others does not waive our right to act with respect to subsequent or similar breaches. We do not guarantee we will take action against all breaches of these Terms. Neither the course of conduct between the parties nor trade practice shall act to modify any of these Terms. Liya Beauty may assign its rights and duties under these terms and conditions to any party at any time without notice to you.
